THE BLACK BOX REWARDS PROGRAM TERMS AND CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. BLACK BOX WINES RESERVES THE RIGHT TO CANCEL OR MODIFY THIS PROGRAM AT ANY TIME. THIS MEANS THAT YOUR RIGHT TO EARN OR REDEEM REWARDS MAY BE TERMINATED OR MODIFIED AS SET FORTH IN THESE TERMS AND CONDITIONS, EVEN THOUGH SUCH TERMINATION OR MODIFICATION MAY AFFECT THE REDEMPTION VALUE OF ANY REWARDS POINTS ALREADY ACCUMULATED. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PARTICIPATE IN THE BLACK BOX REWARDS PROGRAM. BY PARTICIPATING IN THE BLACK BOX REWARDS PROGRAM, YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS.

1. Overview of the Black Box Rewards Program

The Black Box Rewards Program (the “Program”) is a loyalty program offered by E. & J. Gallo Winery (herein referred to as “Black Box Wines” or “we” or “our”) through which you may be offered the opportunity to receive access to certain benefits, offers, and promotions, as well as accumulate rewards points (each, a “Rewards Point” and collectively, “Rewards Points”) on both (i) qualifying purchases of Black Box Wines products in the Purchase Participating States (as defined below), and/or (ii) by interacting with Black Box Wines in any of the manners as described or referenced in Section 4 below (each, a “Qualifying Activity”). Rewards Points may be redeemed for various rewards (each, a “Reward”) as modified from time to time in Black Box Wines’ sole discretion. As further described herein, the Program ends when terminated in the sole discretion of Black Box Wines, subject to reasonable notice in jurisdictions where Black Box Wines is required by applicable law to provide such notice. All Rewards Points must be redeemed prior to the effective date of termination or expiration of Rewards Points. Rewards Points do not constitute property, do not entitle a participant a vested right or interest, and have no cash value. As such, Rewards Points are not redeemable for cash, transferable or assignable for any reason.

Notwithstanding anything to the contrary contained herein, the Program will terminate on December 6, 2026 and the last day to earn Rewards Points is November 23, 2026, which dates are subject to change in Black Box Wines’ sole discretion. All Rewards Points and unused Rewards will be forfeited after 11:59 p.m. Pacific Standard Time on December 6, 2026.

2. Eligibility

The Program is only open to legal residents of the 50 United States and the District of Columbia excluding Utah (the “Territory”) who are twenty-one (21) years of age or older at the time of enrollment. However, qualifying purchases of Black Box Wines products are eligible to earn Rewards Points only in the following states and only by legal residents of one of the following states (each a “Purchase Eligible Participant”): Alaska, Arkansas, Arizona, Colorado, Connecticut, District of Columbia, Delaware, Florida, Georgia, Iowa, Idaho, Illinois, Kansas, Kentucky, Louisiana, Maine, Massachusetts, Maryland, Michigan, Mississippi, Montana, North Dakota, Nebraska, Nevada, New Hampshire, New Mexico, New York, Ohio, Oklahoma, Oregon, Rhode Island, South Dakota, Tennessee, Vermont, Washington, Wisconsin, West Virginia, and Wyoming (each, a “Purchase Participating State” and collectively, the “Purchase Participating States”). The Program is void where prohibited by law. The Program is intended for individual use only. No groups, clubs, or organizations may participate, Rewards Points are not available for resales, and commercial use is prohibited. The Program is not targeted toward, not intended for use by, anyone under the age of twenty-one (21). There is no Program membership fee. No alcohol purchase is necessary to participate.

3. How to Enroll in the Program

To enroll in the Program for free and begin earning Rewards Points on your qualifying Black Box Wines purchases and Qualifying Activities, visit https://www.blackboxwines.com/s/blackbox/login (the “Website”), supply the required information, and elect to participate in the Program to create your account (“Account”). Upon your completion of the enrollment process, subject to eligibility, you: (i) become a Program member; (ii) receive access to an Account; and (iii) agree that you have read and accepted these Program Terms and Conditions. If you previously created an Account, by logging into your Account, you agree that you have read and accepted these Program Terms and Conditions. Limit: one (1) Account per person. The person who is the holder of the Program membership associated with the email address used to register for the Program will be deemed the member for that Account. Subject to applicable laws, Accounts, Rewards Points and Rewards may not be sold, transferred, assigned to, or shared with, family, friends or others. Rewards Points may not be combined from different Accounts for any purpose. If it is discovered that you have obtained more than one Account, Black Box Wines may terminate any and all of your Accounts and you shall immediately forfeit all Rewards Points and unused Rewards. You are responsible for ensuring that no unauthorized person has access to your Account. You are responsible for all activity on your Account. When enrolling in the Program, you agree that: (i) you will not impersonate another person or violate the intellectual property or other right of any person or entity; (ii) you will provide true, accurate, current, and complete information and maintain and update such information; (iii) you are solely responsible for all activities that occur under your Account; and (iv) you will immediately notify Black Box Wines of any unauthorized use of your Account.

4. Earning Rewards Points and Restrictions

There are currently two (2) ways for Account holders to earn Rewards Points (both of which are subject to change): (1) Purchase Eligible Participants may make Qualifying Purchases of Black Box Wines products in the Purchase Participating States and upload a Valid Receipt (as defined below) in accordance with Black Box Wines’ instructions; and (2) participate in Qualifying Activities, each as may be updated from time to time. From time to time and in Black Box Wines’ sole discretion, Black Box Wines may offer additional methods of obtaining Rewards Points, including, without limitation, by describing such methods on the Website.

Not all products are eligible to receive Rewards Points and Black Box Wines may change which products are eligible at any time, in its sole discretion, without notice.

Qualifying Purchases. One hundred (100) Rewards Points may be obtained for every one dollar ($1.00) spent on eligible retail purchases of qualifying Black Box Wines products by Purchase Eligible Participants in the Purchase Participating States (when such purchases are made by a Purchase Eligible Participant Program member in good standing, “Qualifying Purchases”) by uploading a photo (JPEG, PDF, or PNG with a maximum file size of 6 MB) of your Valid Receipt (as defined below) to your Account. Taxes paid on Qualifying Purchases are not eligible for Rewards Points. All receipts must be uploaded within ninety (90) days of the purchase date (and no later than November 23, 2026 at 11:59 p.m. Pacific Standard Time) and must be clear and legible, displaying the following information: order date and time, order total, receipt number, product number, price, and store location (including Purchase Participating State) (collectively, when verified by Black Box Wines, a “Valid Receipt”). Receipts that have already been scanned and submitted will not be accepted. Receipts for purchases of Black Box Wines products that have been resold are not eligible. Black Box Wines reserves the right to request, in its discretion, copies of receipts for verification purposes. The decisions of Black Box Wines with respect to the validity of any receipt of upload and Account balances are final and binding in all respects. The rate of accumulation of Rewards Points in connection with Qualifying Purchases is subject to change at any time in Black Box Wines’ sole discretion.

Qualifying Activities. To earn Rewards Points on Qualifying Activities, you must be successfully logged into your Account via the Website by entering your email address and password. Rewards Points may be earned by interacting with Black Box Wines through those Qualifying Activities that may be available from time to time from within the Rewards Dashboard on the Website by following the instructions provided on the Rewards Dashboard associated with the applicable Qualifying Activity. To the extent any of the Qualifying Activities include the sharing of Black Box Wines content or a Black Box Wines link (e.g., on social media), you must clearly and conspicuously disclose that you might receive Rewards Points in connection with such activity. For the avoidance of doubt, the last day to earn Rewards Points on any Qualifying Activities is November 23, 2026.

At any time in Black Box Wines’ sole discretion, Black Box Wines reserves the right to change the number of Rewards Points that are earned in connection with qualifying purchases and Qualifying Activities as well as change the Qualifying Activities and purchases that qualify for the earning of Rewards Points.

You can see how many Rewards Points you have earned as well as the available Rewards options on your Account. Rewards Points will appear on your Account within approximately seventy-two (72) hours after successfully submitting a Valid Receipt or completing a Qualifying Activity.

5. Tier Status

Upon joining the Program, members are automatically assigned to Bronze tier status and may advance to higher tiers based on annual Rewards Points earned (each, a “Tier Status”). The number of Rewards Points needed to qualify for a given Tier Status will be set forth on the Website. If you earn enough Rewards Points to qualify for the next Tier Status in a given twelve-month period measured from June 1 through May 31 (a “Program Year”), you may be elevated to the next Tier Status for the remainder of the current Program Year and for the next Program Year. A Participant’s initial Tier Status for a given Program Year (other than the Program Year in which such Participant created their Account) will be based on the Rewards Points earned in the immediately preceding Program Year. Each tier offers benefits as may be set forth on the Website from time to time.

Black Box Wines, in its sole discretion, may alter, limit, or modify the Tier Status rules, regulations, perks, and eligibility, the number of Rewards Points needed to reach a particular tier, and any feature of a particular tier, and to terminate or add any tier at any time. This means that the accumulation of Rewards Points does not entitle you to any vested rights with respect to such Rewards Points or any Tier Status.

6. Points Redemption

Rewards Points earned and available on your Account may be redeemed for Rewards available through your Account at the time of redemption. Upon redemption of Rewards Points, the selected Reward will be delivered to the mailing address associated with your Account within the Territory. Please allow up to thirty (30) days for the delivery of Rewards. The required number of Rewards Points will then be subtracted from your Rewards Points balance following the desired Reward selection. Once a Reward has been chosen, it will not be possible to return or refund the Reward and receive your Rewards Points back. Black Box Wines is not responsible for any change of email address, mailing address, and/or telephone number of members. Rewards are for your use only and may be subject to additional terms and conditions. You may only redeem one (1) Reward per day, except as may otherwise be communicated by Black Box Wines in Black Box Wines’ sole discretion.

Rewards may change over time in Black Box Wines’ discretion. This means that Black Box Wines cannot guarantee that a specific Reward is available at the time you wish to redeem your Reward. Black Box Wines reserves the right to discontinue any Rewards at any time. You acknowledge that Black Box Wines has not made any representation, warranty or guarantee, express or implied with respect to any Reward. The current Rewards and the number of Points required to redeem, as well as the instructions for choosing a Reward, are available on your Account.

7. Expiration and Forfeiture of Rewards Points and Rewards

Except as may otherwise be communicated by Black Box Rewards from time to time in Black Box Rewards’ discretion, Rewards Points will expire after 365 days of continuous inactivity on your Account, defined as not earning or redeeming any Rewards Points during such 365 day time period. In addition, and notwithstanding anything to the contrary, all Rewards Points and unused Rewards will be forfeited the earlier of: (i) the termination of your participation in the Program (whether terminated by you or by Black Box Wines), or (ii) termination of the Program. You must redeem and use all Rewards Points and Rewards prior to their expiration or the effective date of any termination of the Program, or those unredeemed or unused Rewards Points and/or Rewards shall be forfeited.

8. Program Termination, Modifications to the Program, and Account Termination

Black Box Wines reserves the right to change, modify, suspend, cancel, terminate, and/or eliminate the Program at its sole discretion at any time. Black Box Wines further reserves the right to change, modify, and/or eliminate all or any portion of these Terms and Conditions or any policy, FAQ, or guideline pertaining to the Program at any time at its sole discretion, including, without limitation: (i) changing the Program Rewards Point(s) earning rate, (ii) changing the Program’s structure, (iii) removing or changing the redemption value of Rewards Points, (iv) revising the procedures or requirements for earning Rewards Points, and (v) associating, combining, integrating, linking or merging the Program (or any portion or component thereof) with any other program(s).

The Program will terminate on December 6, 2026 and the last day to earn Rewards Points is November 23, 2026, which dates are subject to change in Black Box Wines’ sole discretion. All Rewards Points and unused Rewards will be forfeited after 11:59 p.m. Pacific Standard Time on December 6, 2026.

Except as may be otherwise communicated by Black Box Wines in writing, any changes or modifications will be effective immediately upon posting the changes which may be accessed through the Website. You waive any right you may have to receive specific notice of such changes or modifications, except as required by law. Your continued participation in or access to the Program confirms your acceptance of these Terms and Conditions and any changes or modifications to these Terms and Conditions. You should review these Terms and Conditions and our policies and FAQs (if any) frequently to understand the terms that apply to the Program. You may opt-out of the Program at any time by cancelling your Account by logging into your Account and selecting “Cancel Membership” from your Profile page.

9. General Terms and Conditions

Black Box Wines reserves the right to terminate your Account and membership if you engage in any fraudulent activity or use the Program in a manner inconsistent with these Terms and Conditions or any federal, municipal, provincial, state or local, laws, statutes, or ordinances. Such termination will result in the loss of all accumulated Rewards Points. In addition to Account and membership termination, Black Box Wines shall have the right to take appropriate administrative and/or legal action, including criminal prosecution, as it deems necessary in its sole discretion.

Rewards Points and Rewards do not constitute your property and may be revoked at any time by Black Box Wines as set forth herein. Rewards Points and Rewards may not be transferred or assigned, and are not transferable upon death, as part of a domestic relations matter or otherwise by operation of law. Rewards Points and Rewards awarded in the Program are not valid in, and may not be used in combination with, any other program offered by Black Box Wines or third parties. All Rewards and Rewards Points are promotional, have no cash or other pecuniary value, and may not be converted to a gift card balance or exchanged for cash, unless required by law. Rewards Points can only be used to redeem available Rewards. Rewards Points may be subject to taxation, for which you are solely responsible.

Black Box Wines reserves the right to adjust your Account status or Rewards Points balance at any time, without notice, due to (i) computer error, (ii) technical issues and experiences by Black Box Wines, (iii) machine malfunction, (iv) customer or other error, (v) fraudulent activity or misuse of the Program or Rewards Points or (v) other reasons which Black Box Wines deems appropriate. All transactions involving Rewards Points are subject to review and verification by Black Box Wines.

Black Box Wines may request proof of identification and age to verify (i) Program eligibility, (ii) membership participation, and (iii) compliance with these Terms and Conditions. If, as a result of a change by Black Box Wines in the participation or eligibility requirements or a change in member’s eligibility status, a member no longer meets the requirements for participation, then, from the date of such change, such member will no longer be entitled to earn Rewards Points or receive member benefits, unless and until such member meets the participation requirements.

Black Box Wines is not responsible for any incorrect or inaccurate information supplied by you while participating in the Program. All questions or disputes regarding eligibility for the Program, awarding, earning or redemption of Rewards Points or Rewards, or your compliance with these Terms and Conditions will be resolved by Black Box Wines in its sole discretion.

10. Limitation of Liability; Miscellaneous

To the fullest extent permitted under applicable law, you release Black Box Wines, its affiliate entities, and their respective officers, directors, employees, agents, subsidiaries, and joint ventures from and against any and all claims, demands and damages (actual and consequential) of every kind and nature known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with disputes relating to the Program and/or these Terms and Conditions.

AS A CONDITION OF PARTICIPATING IN THIS PROGRAM, YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS PROGRAM SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND SHALL BE RESOLVED IN ACCORDANCE WITH THE DISPUTE RESOLUTION PROCEDURES SET FORTH IN THE TERMS OF USE (AS HEREAFTER DEFINED).

Your participation in the Program is also subject to the Black Box Wines Terms of Use, which are found at here (the “Terms of Use”). In the event of a conflict between these Terms and Conditions and the Terms of Use, these Terms and Conditions shall control to the extent of such conflict. You acknowledge that your information that we collect or process in connection with the Program is subject to the Black Box Wines Privacy Policy found here (the “Privacy Policy”) and the additional Privacy Disclosures posted below, at the end of these Terms and Conditions.

All issues and questions concerning the construction, validity, interpretation and enforceability of the Terms and Conditions, or your or Black Box Wine’s, rights and obligations in connection with the Program, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of California.

These Terms and Conditions constitute the entire agreement between Program participants and Black Box Wines pertaining to the subject matter hereof and supersedes all prior or other arrangements, understandings, negotiations, and discussions, whether oral or written. No waiver of any of the provisions of these Terms and Conditions shall be deemed or shall constitute a waiver of any other provisions hereof (whether or not similar), nor shall waiver constitute a continuing waiver unless otherwise expressly provided.

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the remainder of these Terms and Conditions, which will otherwise remain in full force and effect. To the extent permitted by applicable law, the invalid or unenforceable provision shall be replaced with a valid, enforceable provision that most closely matches the intent of the original provision. Nothing in these Terms and Conditions shall be deemed to exclude or restrict any of your statutory rights as a consumer.

ADDITIONAL PRIVACY DISCLOSURES FOR BLACK BOX REWARDS PROGRAM

Black Box Wines provides the following privacy disclosures for consumers in California and Colorado relating to the Black Box Rewards program. These disclosures supplement our Privacy Policy, which applies when you participate in the Black Box Rewards program or otherwise use our services. Note that due to differences in state laws and regulations, the program may operate differently depending on where you live.

CALIFORNIA NOTICE OF FINANCIAL INCENTIVE

Summary

The Black Box Rewards program provides benefits to those who choose to participate, including the ability to earn rewards points, certain benefits, offers, and promotions, as described more fully above. Participation requires the collection of your personal information, including Identifiers, Personal Records, Commercial Information, Characteristics of Protected Classifications (e.g., date of birth), Internet or Other Electronic Network Activity Information, and Inferences.

Material Terms

Participation in Black Box Rewards requires you to create an account in order for us to associate your qualifying activities with you. California participants can earn rewards based on certain qualifying activities as described fully above.

Right to Withdraw

You have the right to withdraw from participation in Black Box Rewards at any time. To cancel your Account, log into your Account and select “Cancel Membership” from your Profile page. If you would like to stop receiving our marketing email communications, please see the instructions provided in our Privacy Policy.

Value of Financial Incentive

The value of the benefits provided varies as individuals take advantage of our Rewards offerings to different degrees. For example, Black Box Rewards members may receive points, discounts, merchandise and birthday gifts, among other rewards. We estimate that the value of consumers’ personal information provided in connection with the Black Box Rewards program is equivalent to the relevant expenses related to the collection and storage of that personal information. Any difference in price or benefits provided to customers who participate in the Black Box Rewards Program is reasonably related to the value of the personal information provided, taking account of the fact that the primary purpose of our Rewards program is to offer discounts and other benefits to fans of Black Box wines.

LOYALTY PROGRAM DISCLOSURES FOR COLORADO RESIDENTS

The purpose of this section is to notify Colorado consumers of how we use personal information in connection with your participation in the Black Box Rewards program. You have the right to delete your personal information associated with your Black Box Rewards account; however if you delete your personal information, we will be unable to link your rewards to your account, and therefore you will be unable to receive benefits from the program.

The chart below identifies the categories of personal information collected through the Black Box Rewards program. Black Box Wines processes this information in order to deliver the benefits of this program to you and for targeted advertising. The chart also reflects the third parties who receive these categories of personal information.
